T2D3 Operating System — Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (together, the “Terms”) form a binding agreement between you and T2D3 LLC (“T2D3,” “we,” “us,” or “our”) and govern your access to and use of the T2D3 Operating System application and related services (the “Service”) at app.t2d3.pro. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization. The marketing website at www.t2d3.pro is governed separately.

1. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, T2D3 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your subscription term. This is a license to use the Service as a hosted offering; no copy of the underlying software is sold or delivered to you, and all rights not expressly granted are reserved by T2D3.

2. Accounts and Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at support@t2d3.club of any unauthorized use or suspected security breach.

3. Subscriptions, Fees, and Payment

The Service is offered as two products — T2D3 GTM and Level Up — each under free and paid subscription tiers, plus combined plans. Paid subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor and renew automatically until cancelled. Fees are stated exclusive of taxes, which you are responsible for paying. Except where required by law, fees are non-refundable. You may cancel at any time, and cancellation takes effect at the end of the then-current billing period. We may change our fees on at least 30 days’ notice, effective at your next renewal.

4. Acceptable Use

You agree not to, and not to permit any third party to:

• Use the Service in violation of any applicable law, regulation, or third-party right.
• Copy, modify, reverse engineer, decompile, or create derivative works of the Service, except to the extent this restriction is prohibited by law.
• Resell, sublicense, rent, lease, or provide the Service to third parties outside your organization without our written consent.
• Access the Service to build a competing product, or scrape, harvest, or systematically extract data except through features we provide.
• Upload or transmit malware, attempt to gain unauthorized access, or interfere with the integrity, security, or performance of the Service.
• Submit content that is unlawful, infringing, defamatory, or that you are not authorized to share, including with our third-party AI processors.

5. Your Content

You retain all ownership of the content you create, upload, or store in the Service (“Your Content”). You grant T2D3 a worldwide, non-exclusive license to host, store, reproduce, process, and display Your Content solely as necessary to provide, secure, and improve the Service and to comply with law. You are solely responsible for Your Content and for having the rights necessary to submit it.

6. AI Features

The Service includes features powered by third-party AI providers. AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose, and you are responsible for reviewing it before relying on it. AI output is provided without warranty and does not constitute professional, legal, financial, or other advice. Your use of AI features is also subject to the AI Processing section of our Privacy Policy.

7. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by T2D3 or its licensors and is protected by intellectual property laws. Except for the license expressly granted in these Terms, nothing transfers any right, title, or interest in the Service to you. If you provide feedback or suggestions, you grant T2D3 a perpetual, irrevocable, royalty-free license to use them without obligation to you.

8. Third-Party Services

The Service integrates with third-party services (for example, payment processing, email delivery, video hosting, accounting, and AI providers). Your use of those services may be subject to their own terms, and T2D3 is not responsible for the acts, omissions, or content of third parties. A current list of subprocessors is described in our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, T2D3 AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. T2D3’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO T2D3 FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE PAID NOTHING.

11. Indemnification

You agree to indemnify and hold harmless T2D3 and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

12. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your license ends and we may delete Your Content in accordance with the retention practices described in our Privacy Policy. Sections that by their nature should survive termination will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. The state and federal courts located in King County, Washington will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised version within the Service with an updated effective date, and for material changes we will provide notice by email or in-app announcement at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
